Did you complete the six modules of the core courses of Learn and Lead and would like a crash refresher course?  Or were you unable to attend the six week sessions but have some specific questions?  Come to this session and learn how the governance, administration, meetings/elections, finances, insurance and physical aspects of an association are all tied together.  ACTHA’s Learn and Lead panel of experts will be answering questions pre-submitted to them by the Learn and Lead graduates and the presenters will take questions from the audience. So come prepared to get your questions answered as well.

Ask An Attorney – Gabriella Comstock

Question: I am the secretary of an association inOak Parkand need to know how to keep the minutes of meetings that are strictly via email.  Do those emails need to be kept or do I prepare regular minutes of the synopsis of all the messages with the conclusion

 Answer: From the question, it appears that the decisions of the Board are made via email and the minutes referred to are really the e-mails.  If my summation is correct, this is not the proper way to make decisions. All decisions of the Board  of Directors must be made in an  open meeting. That is, all members of the Association must be invited to the Board meeting, even if they decide not to attend. Then, the decisions made by the Board, are presented via motion. The minutes should reflect who was in attendance at the meeting, what motions were made, and the outcome of such votes, in addition to a summary of the discussions had by the Board.  Whether the Association is a condominium or common interest community association, the Association is obligated to keep minutes from the meetings for a specific period of time.

 

While there may be times, the Board of Directors has to make a “quick” decision  based on the facts related to the issue, while this is not recommended, practically speaking, it must happen at times. When it does, the Board of Directors must ratify the decision previously made in an open meeting, as described above.

Learn and Lead Presentation – Physical Aspects of Condominium Association

Just a reminder that the fifth Learn and Lead Session is Wednesday, April 25, 2012 at 7pm in Council Chambers of Village Hall,123 Madison, Oak Park, IL. 

The final session will be May 9th, when we talk about insurance and risk.

We are also planning a re-cap of all six sessions on May 30th. We will have the presenter from each session on hand to answer your questions.
